We are looking for a freelancer paralegal who can support the legal team for a period of +/- 6 months.

Your role:

You will be joining a dynamic legal team and will report to our lead counsel legal and insurance. You will work in close collaboration with the actual paralegal, the colleagues of the legal team as well as with certain other business and support teams.

You will assist the team and actual paralegal on relevant questions and requests regarding, among others, the following:

Corporate housekeeping of various group companies

  • Preparing board and shareholders’ documentation (resolutions, reports, proxies, publication forms, etc.);

  • Taking minutes during meetings;

  • Keeping securities registers up-to-date;

  • Maintaining and updating various group overviews (e.g. organisational charts);

  • Pro-actively monitoring duration and expiry of directors’ or other mandates;

  • Handling of KYC requests and obligations (drafting and updating internal KYC policy, keeping UBO register up-to-date); and

  • Taking care of legal formalities (registrations, publications, legalisations, apostilles, etc).

Contract management

  • Assisting on contract management and correspondence;

  • Drafting NDA’s and/or general terms and conditions;

  • Reviewing third party NDA’s, general terms and conditions and/or contract proposals; and

  • Drafting specific proxies (e.g. in framework of transactions).

Legal and administrative support

  • Carrying out legal research;

  • Consulting and requesting publicly available information; and

  • Setting up, managing and maintaining a physical and digital corporate administration and contract management system.

 

Job requirements

Your profile:

You are an experienced freelancer

You have a professional bachelor's degree in legal practice or a bachelor’s degree in law or relevant equivalent experience in a law firm, notary office or an international company

You have preferably at least [2] years of relevant professional experience.

You are solution-oriented, pro-active and pay attention to details.

You have the ability to manage several things at the same time without losing oversight.

You have good social skills and enjoy building relationships with stakeholders.

You are a team player and possess a high level of integrity.

You cherish values such as integrity and confidentiality.

You are fluent in Dutch or French, and you are capable of working and drafting in English.
